The short version
EquiZenergy is business software for equine wellness providers. Subscribers remain responsible for the services they provide, the information they enter, the records they create, and determining what professional, legal, or business requirements apply to them.
1. Acceptance of these Terms
These Terms of Service are an agreement between you and EquiZenergy LLC. By creating an account, starting a trial, purchasing a subscription, or using the EquiZenergy website or application, you agree to these Terms and to the EquiZenergy Privacy Policy.
If you do not agree to these Terms, do not use the service.
2. Eligibility and accounts
EquiZenergy subscriber accounts are intended for adults age 18 and older. At launch, the service is intended for subscribers in the United States.
You are responsible for providing accurate account information, keeping your login credentials secure, and promptly notifying EquiZenergy if you believe your account has been accessed without authorization.
Your account is for your business use and may not be transferred, shared, or used in a way that defeats account security or access controls.
3. Free trial, subscription, and billing
14-day free trial
EquiZenergy offers a 14-day free trial. No credit card is required to start the trial, and the trial does not automatically convert to a paid subscription or automatically charge you when it ends.
To continue using paid features after the trial, you must actively choose to subscribe.
Paid subscription
The standard EquiZenergy subscription is $49 per month unless a different price, promotion, or arrangement is clearly presented to you before purchase.
Paid subscriptions renew monthly until canceled. By subscribing, you authorize the applicable payment provider to charge the recurring subscription fee and any applicable taxes using the payment method you provide.
Refunds
Subscription payments are non-refundable except where required by applicable law. Canceling a subscription stops future renewal charges but does not refund a payment already made for the current paid period.
4. Cancellation and failed payments
You may cancel your subscription at any time. Cancellation stops the next renewal, and paid access continues through the end of the period you have already paid for.
After paid access ends, the workspace becomes read-only, and available records can be viewed or exported for 90 days. After that 90-day period, access to those records ends. Cancellation and expiration of the access period do not, by themselves, automatically delete subscriber-entered records; retention and deletion are described in the Privacy Policy.
If a recurring payment fails, EquiZenergy may provide a 72-hour grace period to resolve the payment issue. If payment is not resolved during that period, paid access may be suspended until the account is brought current.
5. Subscriber records and data
Subscriber-entered client and horse records are the subscriber's business records. EquiZenergy provides software, organization, storage, and related tools so subscribers can create, maintain, send, view, and export those records.
You retain responsibility for the information you enter. You grant EquiZenergy the limited permission needed to host, store, process, display, transmit, back up, and otherwise handle your content solely as reasonably necessary to provide and operate the service.
You are responsible for ensuring that you have the right to enter, upload, store, or send the information and documents you place in EquiZenergy.
6. Subscriber responsibility and professional scope
EquiZenergy is a business and record-management tool. It does not provide veterinary, medical, legal, tax, accounting, or professional licensing advice.
Subscribers are responsible for the services they provide and for determining which laws, regulations, professional rules, facility requirements, association requirements, documentation requirements, disclosures, releases, referrals, prescriptions, supervision requirements, or other obligations apply to their work.
EquiZenergy does not determine whether a particular service is permitted in a particular state or location, whether a particular document is legally sufficient, or whether a subscriber has met a licensing or professional requirement.
7. Releases, electronic signatures, and supporting documents
EquiZenergy provides tools that may allow subscribers to use an EquiZenergy release, upload and use their own practice release, use both, manage releases outside EquiZenergy, collect electronic signatures, and store related documents.
EquiZenergy also provides storage for supporting documents such as veterinary authorizations, prescriptions, referrals, recommendations, releases, or other records a subscriber chooses to maintain.
The availability of these tools does not mean EquiZenergy has determined that a particular release, signature, veterinary document, or disclosure satisfies the requirements of every state, profession, facility, association, or circumstance.
The subscriber remains responsible for selecting and using documents appropriate for their business.
8. Acceptable use
You agree not to misuse EquiZenergy. This includes, for example:
- using the service for unlawful, fraudulent, abusive, or deceptive activity;
- accessing or attempting to access another user's account or records without authorization;
- interfering with, probing, attacking, reverse engineering, or attempting to bypass security controls except where applicable law expressly permits otherwise;
- uploading malware or intentionally harmful content;
- using automated methods in a manner that places unreasonable load on the service; or
- using EquiZenergy in a manner that violates another person's privacy, confidentiality, intellectual property, or other rights.
9. Third-party providers
EquiZenergy relies on third-party service providers and infrastructure vendors to operate. These may include cloud hosting, authentication, database and file storage, payment processing, email delivery, analytics, security, monitoring, and other technical services.
Some functions may be subject to the third party's own terms, privacy practices, availability, or technical limitations. EquiZenergy is not responsible for a third-party service outside EquiZenergy's reasonable control.
10. Service availability and changes
We work to keep EquiZenergy available and reliable, but no online service can be guaranteed to operate without interruption or error.
EquiZenergy may perform maintenance, make security updates, fix defects, improve performance, or change features when reasonably necessary to operate, protect, or improve the service.
We may discontinue a feature or the service itself. When reasonably practicable, we will provide notice of material changes that significantly affect paid users.
11. EquiZenergy ownership
EquiZenergy LLC owns or licenses the EquiZenergy software, website, design, branding, trademarks, logos, documentation, photography, and other service materials, excluding subscriber content and other content owned by third parties. Website photography and other materials may be original EquiZenergy content or used under license.
Your subscription gives you a limited, non-exclusive, non-transferable right to use the service for your business during the period your account is authorized to access it. It does not transfer ownership of the EquiZenergy software or brand to you.
12. Disclaimers
To the fullest extent permitted by law, EquiZenergy is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, or suitable for every subscriber's legal, professional, business, or recordkeeping requirements.
EquiZenergy does not guarantee a particular business result, client outcome, therapeutic result, regulatory result, or legal result from use of the service.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
13. Limitation of liability
To the fullest extent permitted by applicable law, EquiZenergy LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost opportunities, or loss of data arising from or related to use of the service.
To the fullest extent permitted by applicable law, EquiZenergy LLC's total liability arising out of or relating to the service or these Terms will not exceed the amount you paid to EquiZenergy for the service during the 12 months immediately before the event giving rise to the claim.
These limitations do not apply where applicable law does not allow them.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless EquiZenergy LLC from third-party claims, damages, losses, liabilities, and reasonable costs arising from your unlawful use of the service, your professional services, your subscriber-entered content, or your violation of these Terms or another person's rights.
15. Suspension and termination
EquiZenergy may suspend or restrict access when reasonably necessary to address nonpayment, security concerns, suspected misuse, unlawful activity, material violations of these Terms, or risks to the service or other users.
Where appropriate and reasonably practicable, we will attempt to provide notice and an opportunity to resolve the issue.
Termination or suspension does not automatically erase subscriber-entered records. Retention and deletion are handled under the Privacy Policy and applicable law.
16. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, except where applicable law provides otherwise.
Any court dispute relating to these Terms or the EquiZenergy service may be brought in a court of competent jurisdiction in Colorado, subject to any rights or protections that applicable law gives you.
These Terms do not require mandatory arbitration and do not include a class-action waiver.
17. Changes to these Terms
EquiZenergy may update these Terms as the service, pricing, features, business operations, or legal requirements change. If we make a material change, we will update the effective date and provide notice when appropriate.
Your continued use of the service after an updated version becomes effective means you agree to the revised Terms, except where applicable law requires a different form of consent.
